The agreement between you and Emace.io.
Please read these Terms and Conditions carefully before using Our Service.
The words of which the initial letter is capitalized have meanings defined under the following conditions. These definitions shall have the same meaning regardless of whether they appear in singular or in plural.
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part, You may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service. Your use is also conditioned on Your acceptance of our Privacy Policy.
Some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis. At the end of each period, Your Subscription will automatically renew under the same conditions unless cancelled by You or the Company.
You may cancel Your Subscription renewal through Your Account settings or by contacting the Company. You will not receive a refund for fees already paid and may access the Service until the end of the current period.
You shall provide accurate and complete billing information. Should automatic billing fail, the Company will issue an electronic invoice to be paid manually within the deadline indicated.
The Company may modify Subscription fees at any time. Changes become effective at the end of the then-current period, with reasonable prior notice. Continued use after a change constitutes agreement to the modified fee.
Except when required by law, paid Subscription fees are non-refundable. Certain requests may be considered case-by-case at the Company's sole discretion.
The Company may offer a Subscription with a Free Trial. If billing information is provided at sign-up, You will not be charged until the trial expires, after which the applicable fees apply unless cancelled. The Company may modify or cancel a Free Trial offer at any time.
You must provide information that is accurate, complete, and current. You are responsible for safeguarding Your password and for all activities under Your account, and must notify Us immediately of any security breach. You may not use a username that is unlawful, belongs to another person/entity, or is offensive.
You are responsible for the Content You post, including its legality, reliability and appropriateness. By posting Content You grant Us the right and license to use, modify, reproduce and distribute it on and through the Service. You retain Your rights and warrant that the Content is Yours or You are authorised to use it, and that it does not violate the rights of any person.
You are solely responsible for activity under Your account. You may not transmit Content that is unlawful, defamatory, discriminatory, spam, contains malware, infringes proprietary rights, impersonates others, violates privacy, or is otherwise objectionable. The Company may (but is not obliged to) review, refuse or remove Content at its sole discretion.
Although regular backups are performed, the Company does not guarantee against loss or corruption of data and has no liability for the integrity of Content. You agree to maintain an independent copy of any Content.
We respond to claims that Content infringes copyright or other intellectual property. Copyright owners may submit a written notice (including a DMCA notification per 17 U.S.C. 512(c)(3)) to our copyright agent by email at dmca@emace.io. Misrepresenting that Content is infringing may result in liability for damages.
The Service and its original content (excluding Content provided by users), features and functionality are and remain the exclusive property of the Company and its licensors, protected by copyright, trademark and other laws. Our trademarks may not be used without prior written consent.
You assign all rights in any Feedback You provide. If such assignment is ineffective, You grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use and exploit such Feedback.
Our Service may contain links to third-party websites not owned or controlled by the Company. We assume no responsibility for their content or practices and advise You to review their terms and privacy policies.
We may suspend or terminate Your Account immediately, without notice, for any reason including breach of these Terms. Upon termination Your right to use the Service ceases immediately.
The entire liability of the Company and its suppliers is limited to the amount actually paid by You through the Service, or USD 100 if You have not purchased anything. To the maximum extent permitted by law, the Company shall not be liable for any special, incidental, indirect or consequential damages. Some jurisdictions do not allow such limitations, in which case liability is limited to the greatest extent permitted by law.
The Service is provided "AS IS" and "AS AVAILABLE" with all faults and without warranty of any kind. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and makes no guarantee that the Service will be uninterrupted, error-free, secure or meet Your requirements.
The laws of Germany, excluding its conflict-of-law rules, govern these Terms and Your use of the Service. Your use may also be subject to other local, state, national or international laws.
If You have any concern or dispute, You agree to first try to resolve it informally by contacting the Company.
If You are an EU consumer, you benefit from any mandatory provisions of the law of the country in which you are resident.
If any provision is held unenforceable, it will be changed and interpreted to accomplish its objectives to the greatest extent possible, and the remaining provisions continue in effect. Failure to exercise a right does not waive it.
If these Terms have been translated, You agree that the original English text shall prevail in case of a dispute.
We may modify or replace these Terms at any time. For material revisions we will make reasonable efforts to provide at least 30 days' notice. Continued use after revisions take effect constitutes acceptance.
